CONSTITUTION 2009
1. Name
The name of the Consortium is "Higher Education Purchasing Consortium, Wales" (HEPCW), or such other name as the membership may from time to time decide.
2. Administration
2.1 The Consortium shall be administered and managed in accordance with this Constitution by members of the Board, constituted by clause 5 of this Constitution ("the Board"). The Board shall consider, and agree as appropriate, nominations for membership of a "Strategy Management Group" (SMG), constituted by clause 7 of this Constitution with Terms of Reference in accordance with Appendix "C".
2.2 The SMG may establish or dissolve Purchasing Sub-Groups with a Constitution and Terms of reference in Appendix "D".
2.3 The Board may delegate to the SMG such authority as may be required, from time to time, to carry out the Group’s duties and responsibilities.
3. Mission
The Consortium’s mission ("the Mission") is as stated in Appendix "A" to this Constitution.
4. Membership
4.1 ‘Full’ membership of the Consortium shall be open to institutions of Higher Education in Wales on payment of an annual fee determined by the Board; and to institutions of Further Education in Wales that are paid-up members of the Welsh Further Education Purchasing Consortium (WFEPC), via a single WFEPC membership on payment of an annual fee determined by the Board
4.2 Every full member shall have one vote, in person or by proxy. WFEPC shall have one vote.
4.3 Each member institution shall nominate one officer who, in their view, has the necessary experience and/or qualifications and/or seniority to represent it and, in accordance with 4.2 above, to vote on its behalf at meetings.
4.4 In accordance with 2.3 above, SMG membership shall comprise nominated officers – one from each member institution – who are the institutions’ Purchasing Manager/Head of Procurement, or other appropriate officer.
